Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, software, products, and services provided by Odyssey Apex LLC ("Odyssey Apex," "we," "us," or "our"), including Odyssey Ledger, Odyssey Insight, and Odyssey Forecast (collectively, the "Services").

By creating an account, connecting QuickBooks Online, or using any Service, you agree to be bound by these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that company.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract. The Services are intended for business use by contractors and trade professionals operating in the United States. We may decline service or terminate accounts at our discretion.

2. Account Registration

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. Notify us immediately at support@odysseyapex.com if you suspect unauthorized access.

3. Subscription, Billing, and Payments

3.1 Subscription terms

Services are sold on a monthly subscription basis. Pricing is published at odysseyapex.com and may include single product, two product, or full platform options. Subscriptions auto renew each month unless canceled.

3.2 Billing

You authorize us, through Stripe, to charge the payment method on file at the start of each billing cycle. Card information is stored and processed by Stripe in accordance with PCI DSS standards. We do not store full card numbers on our servers.

3.3 Failed payments

If a payment fails, we will attempt to recharge the card on file. We may suspend or terminate your access to the Services if a balance remains unpaid for more than 14 days.

3.4 Price changes

We may change pricing with at least 30 days' notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

3.5 Refunds

Subscription fees are non refundable except where required by law. You may cancel at any time, and your access will continue through the end of the current billing cycle.

4. QuickBooks Online Integration

To use the Services, you must connect a valid QuickBooks Online account. You authorize us to access, read, and where you explicitly configure, write data to your QuickBooks Online account in order to deliver the Services. Your use of QuickBooks Online is governed by Intuit's separate terms and privacy policy. We are not responsible for any failure of the QuickBooks Online platform or for any data inaccuracies originating in your QuickBooks Online account.

5. License to Use the Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non exclusive, non transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, lease, or otherwise commercially exploit the Services without written authorization
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Use the Services to send spam, harass third parties, or violate consumer protection laws including the CAN SPAM Act and TCPA
• Upload or transmit viruses, malicious code, or any content that infringes intellectual property rights

7. Customer Communications

Odyssey Ledger and other Services may send communications to your customers on your behalf, including AR followup emails and notifications. You represent and warrant that you have the right to contact those customers, that your contact records are accurate and lawfully obtained, and that you will comply with all applicable communications laws. You agree to indemnify and hold us harmless from claims arising from communications sent through the Services on your behalf.

8. Customer Data and Ownership

You retain all rights, title, and interest in the data you provide to or generate within the Services ("Customer Data"). You grant us a limited license to access, store, process, and transmit Customer Data solely as needed to deliver, support, and improve the Services. We do not sell Customer Data. You can export or request deletion of Customer Data at any time, subject to our retention obligations.

9. Intellectual Property

The Services, including all software, designs, trademarks, logos, content, and documentation, are owned by Odyssey Apex LLC or our licensors and are protected by United States and international intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

10. Cancellation and Termination

10.1 Cancellation by you

You may cancel your subscription at any time from your dashboard or by contacting support. Cancellation takes effect at the end of the current billing cycle. You will retain access until the cycle ends.

10.2 Termination by us

We may suspend or terminate your access immediately, with or without notice, if you violate these Terms, fail to pay fees, or engage in conduct that risks harm to us, our users, or third parties.

10.3 Effect of termination

On termination, your license to use the Services ends, and we may delete or anonymize your data in accordance with our retention schedule. Provisions that by their nature should survive termination, including ownership, indemnification, disclaimers, and limitations of liability, will survive.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error free, or free from inaccuracies. The Services do not constitute financial, accounting, tax, legal, or professional advice. You are solely responsible for verifying outputs and for the financial decisions you make based on those outputs. We strongly encourage you to consult a qualified accountant, CPA, or financial advisor for material financial decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Odyssey Apex LLC, its officers, employees, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Services. Our aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed the amount you paid us in the 12 months immediately preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Odyssey Apex LLC and its officers, employees, affiliates, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your Customer Data, your communications to your customers, or your violation of these Terms or applicable law.

14. Modifications to the Services and Terms

We may update, modify, or discontinue features of the Services at any time. We may also update these Terms from time to time. Material changes will be communicated by email or in product notice. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered in St. Lucie County, Florida, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action or class wide arbitration.

16. Force Majeure

We will not be liable for any delay or failure to perform caused by events outside our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, and acts of government.

17. Entire Agreement

These Terms, together with our Privacy Policy and any order forms or written agreements signed by both parties, constitute the entire agreement between you and Odyssey Apex LLC regarding the Services and supersede any prior agreements.
